Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and Tuff AI Agents ("Company," "we," "us," or "our") governing your access to and use of our AI automation services, website, and related products.

By accessing our website at tuffagents.com, submitting a form, booking a strategy session, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree to these Terms, you must not use our services.

Description of Services

Tuff AI Agents provides custom AI automation services for small businesses, including but not limited to:

• AI Receptionist — 24/7 automated phone answering, call routing, and customer qualification
• AI Appointment Setter — Automated appointment booking, calendar integration, and reminder systems
• AI Sales Assistant — Lead qualification, nurturing, and follow-up automation
• AI Customer Support — Multi-channel customer service via phone, SMS, chat, and email
• AI Marketing Assistant — Social media content creation, posting automation, and lead generation
• AI Business Automation — CRM management, pipeline automation, review requests, and email/SMS campaigns
• Google & Facebook Ads Management — Paid advertising campaign creation and optimization (Plus and VIP plans)
• Strategy Sessions — Free 30-minute consultations to assess your business automation needs

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice to active clients.

Eligibility

To use Tuff AI Agents services, you must meet the following eligibility requirements:

• Be at least 18 years of age
• Be a legal business entity or sole proprietor operating a legitimate business
• Have the legal authority to enter into binding contracts on behalf of your business
• Provide accurate and complete information during registration and onboarding
• Comply with all applicable local, state, federal, and international laws and regulations
• Not be located in a country subject to U.S. government embargo or sanctions

By using our services, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service to anyone who does not meet these requirements or who violates these Terms.

Account Registration

To access our services, you may be required to provide certain information about yourself and your business. You agree to:

• Provide accurate, current, and complete information during registration and onboarding
• Maintain and promptly update your information to keep it accurate and complete
• Maintain the security and confidentiality of your account credentials
• Notify us immediately of any unauthorized use of your account or any other security breach
• Accept responsibility for all activities that occur under your account
• Not share your account credentials with any third party

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or incomplete, or if you violate any provision of these Terms.

Subscription & Billing

Monthly Subscription

Tuff AI Agents services are provided on a month-to-month subscription basis. Your subscription begins on the date your AI Agent goes live and renews automatically each month on the same date.

Payment Terms

• All fees are billed in U.S. dollars and are due at the beginning of each billing cycle
• Payment is processed automatically via Stripe using the payment method on file
• You authorize us to charge your payment method on a recurring monthly basis
• All fees are non-refundable except as expressly stated in our Cancellation & Refund Policy
• Prices are subject to change with 30 days written notice to active clients

Failed Payments

If a payment fails, we will attempt to process the payment again within 3 business days. If payment continues to fail after two attempts, your service may be suspended until payment is received. We will notify you by email of any payment failures.

Taxes

You are responsible for all applicable taxes, duties, and fees associated with your subscription. Where required by law, we may collect and remit applicable sales taxes.

Cancellation & Refunds

Cancellation Policy

You may cancel your subscription at any time with no penalties, cancellation fees, or long-term commitments. To cancel your subscription:

• Email us at [email protected] with your cancellation request
• Include your business name and the email address associated with your account
• Cancellations must be submitted at least 5 business days before your next billing date to avoid being charged for the following month

Upon cancellation, your AI Agent will remain active until the end of your current billing period. After that date, your AI Agent will be deactivated and your data will be retained for 30 days before deletion.

Refund Policy

30-Day Performance Commitment

We stand behind our services with a 30-Day Performance Commitment. If your AI Agent is not fully configured and operational within the agreed onboarding period, we will continue working with you at no additional cost until it is operating as intended. This commitment applies to configuration and setup — it does not guarantee specific business results or revenue outcomes.

Exceptions

Refunds may be considered at our sole discretion in cases of:

• Duplicate charges due to billing errors on our part
• Charges made after a confirmed cancellation request
• Service outages exceeding 72 consecutive hours caused by our infrastructure

Acceptable Use Policy

You agree to use Tuff AI Agents services only for lawful business purposes and in accordance with these Terms. You agree NOT to use our services to:

• Violate any applicable local, state, federal, or international law or regulation
• Send unsolicited commercial messages (spam) or engage in any form of unauthorized mass messaging
• Harass, abuse, threaten, or harm any individual or group
• Impersonate any person, business, or entity in a misleading or deceptive manner
• Collect or harvest personal information from others without their consent
• Engage in fraudulent, deceptive, or misleading business practices
• Violate the Telephone Consumer Protection Act (TCPA) or any other telecommunications law
• Use our AI systems to generate or distribute illegal, harmful, defamatory, or obscene content
• Attempt to reverse engineer, decompile, or extract the source code of our AI systems
• Interfere with or disrupt the integrity or performance of our services or infrastructure
• Attempt to gain unauthorized access to our systems, networks, or data
• Use our services in connection with any illegal business activity
• Resell, sublicense, or transfer our services to any third party without written consent
• Use our services to compete directly with Tuff AI Agents
• Violate any third-party platform terms of service through use of our integrations

TCPA Compliance

You are solely responsible for ensuring that your use of our AI communication tools complies with the Telephone Consumer Protection Act (TCPA) and all applicable telecommunications regulations. This includes obtaining proper written consent from your customers before sending automated calls or text messages. Tuff AI Agents provides the technology platform — you are responsible for how you use it and for maintaining proper consent records.

Intellectual Property

Our Intellectual Property

All content, features, functionality, software, algorithms, AI models, designs, logos, trademarks, and materials on our website and within our services are owned by Tuff AI Agents or our licensors and are protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, modify, create derivative works of, publicly display, or exploit any of our intellectual property without our prior written consent.

Your Content & Business Data

You retain ownership of all content, data, and information you provide to us for the purpose of configuring your AI Agent ("Client Content"), including your business information, FAQs, pricing, services, and customer data.

By providing Client Content to us, you grant Tuff AI Agents a limited, non-exclusive, royalty-free license to use, process, and store your Client Content solely for the purpose of providing and improving our services to you.

AI Agent Configuration

The custom AI Agent we build for your business is configured using your business information and our proprietary AI technology. While the configuration is tailored to your business, the underlying AI technology, systems, and infrastructure remain the exclusive property of Tuff AI Agents.

Feedback

If you provide us with feedback, suggestions, or ideas about our services, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

Confidentiality

Our Obligations

We treat all Client Content and business information you share with us as confidential. We will not disclose your confidential business information to third parties except as necessary to provide our services, as required by law, or with your explicit consent.

Your Obligations

In the course of using our services, you may have access to information about our proprietary AI systems, processes, pricing structures, and business methods. You agree to:

• Keep all such information strictly confidential
• Not disclose our proprietary information to any third party
• Use our proprietary information only for the purpose of using our services
• Notify us immediately if you become aware of any unauthorized disclosure

Testimonials & Case Studies

You grant us permission to use your business name, general results, and testimonials (if provided) in our marketing materials, website, and case studies. We will always request your explicit approval before publishing any specific details about your business results. You may withdraw this permission at any time by contacting us in writing.

Disclaimers & Warranties

No Guarantee of Results

Tuff AI Agents does not guarantee any specific business results, revenue increases, lead generation numbers, booking rates, or other performance outcomes. Results mentioned in testimonials, case studies, or marketing materials represent individual client experiences and are not typical. Your results will vary based on your industry, market conditions, business practices, and many other factors outside our control.

Service Availability

While we strive for 99.9% uptime, we do not guarantee that our services will be available at all times without interruption. Our services may be temporarily unavailable due to scheduled maintenance, technical issues, third-party service outages, or circumstances beyond our control.

AI Accuracy

Our AI systems are designed to perform accurately and professionally, but AI technology is not perfect. We do not warrant that our AI Agents will be error-free, will always respond correctly, or will meet all of your specific requirements. You should monitor your AI Agent's performance and notify us of any issues.

Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Limitation of Liability

Maximum Liability Cap

In no event shall our total cumulative liability to you for all claims arising out of or related to these Terms or our services exceed the total amount you paid to Tuff AI Agents in the three (3) months immediately preceding the event giving rise to the claim.

Essential Basis

You acknowledge that the limitations of liability set forth in this section are a fundamental element of the basis of the bargain between Tuff AI Agents and you. Our services would not be provided without such limitations, and these limitations shall apply notwithstanding any failure of essential purpose of any limited remedy.

Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law.

Indemnification

You agree to defend, indemnify, and hold harmless Tuff AI Agents, its officers, directors, employees, agents, licensors, and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms of Service
• Your use of our services in violation of applicable law
• Your violation of any third-party rights, including intellectual property rights or privacy rights
• Your violation of the TCPA or any other telecommunications regulation
• Any content or information you provide to us that is inaccurate, misleading, or illegal
• Your business operations, products, or services
• Any dispute between you and your customers arising from your use of our AI services
• Your failure to obtain proper consent from your customers for AI communications

SMS Terms

By providing your phone number and consenting to receive SMS messages from Tuff AI Agents, you agree to the following SMS terms:

Message Types

• Transactional Messages: Appointment confirmations, service updates, onboarding information, and account notifications
• Marketing Messages: Promotional offers, new service announcements, and business tips (requires separate consent)

Message Frequency

Message frequency varies based on your service plan and activity level. You may receive up to 10 messages per month for transactional communications and up to 4 messages per month for marketing communications.

Opt-Out Instructions

• Reply STOP to any SMS message to unsubscribe from all future messages
• Reply HELP to any SMS message for assistance
• You may also contact us at [email protected] to opt out

Message & Data Rates

Standard message and data rates may apply depending on your mobile carrier plan. Tuff AI Agents is not responsible for any charges imposed by your mobile carrier.

Supported Carriers

SMS services are available on all major U.S. carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carrier support may vary.

Third-Party Services

Our services integrate with various third-party platforms and services. Your use of these integrations is subject to the respective third-party terms of service and privacy policies.

Tuff AI Agents is not responsible for the availability, accuracy, or content of third-party services. We are not liable for any damages or losses caused by your use of third-party integrations. If a third-party service becomes unavailable or changes its terms, we will work to provide alternative solutions where possible.

Termination

Termination by You

You may terminate your subscription at any time by contacting us at [email protected]. Your service will remain active until the end of your current billing period. No refunds will be issued for the remaining days in your billing period.

Termination by Us

We reserve the right to suspend or terminate your account and access to our services immediately and without prior notice if:

• You violate any provision of these Terms of Service
• You violate our Acceptable Use Policy
• You engage in fraudulent, illegal, or harmful activity
• Your payment fails and is not resolved within 10 business days
• You provide false or misleading information during registration or onboarding
• We are required to do so by law or court order
• Continuing to provide services would expose us to legal liability

Effect of Termination

Upon termination of your account for any reason:

• Your AI Agent will be deactivated immediately or at the end of your billing period
• Your access to our platform and services will be revoked
• Your data will be retained for 30 days and then permanently deleted
• You may request a copy of your data within the 30-day retention period
• All provisions of these Terms that by their nature should survive termination shall survive

Dispute Resolution

Informal Resolution

Before initiating any formal dispute process, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within 30 days of receiving written notice.

Binding Arbitration

If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or our services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall be conducted in English and the arbitrator's decision shall be final and binding.

Class Action Waiver

Exceptions

Notwithstanding the above, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration. Either party may also bring claims in small claims court if the claims qualify.

Time Limitation

Any claim or cause of action arising out of or related to these Terms or our services must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred.

Governing Law

These Terms of Service and any dispute arising out of or related to these Terms or our services shall be governed by and construed in accordance with the laws of the United States and the State of Texas, without regard to its conflict of law provisions.

To the extent that any dispute is not subject to arbitration under Section 16, you consent to the exclusive jurisdiction of the state and federal courts located in Texas for the resolution of any such dispute.

Changes to Terms

We reserve the right to modify these Terms of Service at any time. When we make material changes, we will:

• Update the "Last Updated" date at the top of this page
• Send an email notification to all active clients at least 14 days before changes take effect
• Display a prominent notice on our website

Your continued use of our services after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your subscription before the effective date of the changes.
